1. The Platform

• Advertisers are responsible for their Ads and compliance with laws and Platform rules.
• CircleGab can display, modify, reproduce, or distribute Ads as needed.
• Ads cannot include malware, spyware, or violate policies.
• CircleGab may alter or remove Ads at any time for policy or legal reasons.

2. Account and Access

• Advertisers must create a CircleGab account and business Circle.
• Moderators may be authorized to manage Ads; advertisers are responsible for their actions.

3. Payment

• Credit card info submitted to third-party processor.
• Weekly budgets reserved; only charged for actual reach/impressions.
• Remaining funds returned if Ads canceled.
• Ad results are not guaranteed; invalid impression/fraud attempts prohibited.

4. Editorial Adjacencies

• CircleGab cannot guarantee placement next to specific content or separation from competitors.

5. Cancellation

• Ads can be canceled via the Platform; canceled Ads cannot be reinstated.

6. Make-Goods

• No make-goods or compensation for shortfalls due to technical or unforeseen issues.

7. Disclaimers

• Platform provided “as is” without warranties of any kind.
• No guarantee of performance or results.

8. Limitation of Liability

• CircleGab not liable for indirect, incidental, or consequential damages.
• Total liability limited to amount paid for the specific Ad campaign.

9. Indemnification

• Advertisers must indemnify CircleGab and affiliates against claims, damages, or losses arising from use of the Platform or violation of terms.

10. Miscellaneous

• Either party may terminate terms with notice; accrued rights survive.
• Governed by Norwegian law; Oslo courts have exclusive jurisdiction.
• Terms constitute entire agreement; no agency, partnership, or joint venture created.
• Feedback may be used by CircleGab without compensation.

11. Changes to Terms

• CircleGab can modify Terms at any time.
• Users must accept updated Terms to continue using the Platform.
